××××× دبي،	The above mentioned parties have agreed in their full legal capacity to establish a limited liability company in accordance with the stipulations of the companies' law in UAE No. 8 of 1984.
ويمثله الولي الشرعي والده ××××××××.	Article (1): Definitions
سعودي الجنسية و يحمل جواز سفر رقم ×××××××،	For the purpose hereof, the following terms shall have the meanings indicated opposite each of them:
ب:	1-1 Company: means the company that has been established as per this contract.
(ويشار إليه فيما بعد بالطرف الرابع)،	1-2 Commercial registration: means the commercial registration of the Department of Economy.
اتفق الأطراف المذكورون أعلاه،	1-3 Law of commercial companies: means the federal law No. 8 of 1984 pertaining to the commercial companies and its amended regulations.
المادة (1) تعريفات:	1-4 Director/directors: means the assigned director or directors of the company as per this contract.
تكون للمصطلحات التالية في هذا العقد المعاني التي وضعت من أجلها:	1-5 Department of Economy: means the Department of Economy of Dubai Emirate.
1-1 (شركة) تعني الشركة التي تأسست بموجب هذا العقد.	1-6 Ministry: means the office of Ministry of Economy and Trade in Dubai Emirate.
1-3 (قانون الشركات التجارية ) يعني القانون الاتحادي رقم (8) لسنة 1984م في شأن الشركات التجارية والقوانين المعدلة له.	1-7 Partners: means the parties hereof and any normal or nominal person who holds any share of the company's capital as per the conditions herein.
1-5 (الدائرة الاقتصادية ) تعنى الدائرة الاقتصادية لإمارة دبي.	Article (2): Company Name
1-6 (الوزارة) تعنى مكتب وزارة الاقتصاد والتجارة في إمارة دبي.	Company name is: "Top World for Real State (LLC), Limited Liability Company.
و أي شخص طبيعي أو اعتباري يصبح مالكا لأية حصة من رأس مال الشركة وفقا لشروط هذا العقد.	(Hereinafter referred to as the company).
المادة (2) اسم الشركة:	Article (3): Company Purposes:
اسم الشركة هو:	3-1 Company Purposes hereof are:
شركة ذات مسؤولية محدودة (ويشار إليها فيما بعد بالشركة).	• Buying and selling real states and lands.
إن أغراض الشركة موضوع هذا العقد هي:	• Acting as a broker in buying and selling real states.
* الوساطة في بيع العقارات وشرائها.	• Services of renting and managing real states.
* وستشمل مزاولة كافة الأنشطة المتعلقة بهذه الأغراض أو المتصلة بها،	• Practicing all activities of relevant purposes hereof.
ولا يجوز للشركة ممارسة أي أنشطة في مجال التأمين والمصارف أو استثمار الأموال لحساب الغير.	The company may not practice any activities in fields of insurance, banking, or investing money for others.
المادة (4) المقر الرئيسي للشركة :	Article (4): Company Headquarters:
يكون المقر الرئيسي للشركة في إمارة دبي،	Company headquarters shall be in Emirate of Dubai; the company may establish branches and offices inside or outside UAE.
المادة (5) مدة الشركة :	Article (5): Company Term:
تأسست الشركة لمدة خمسين سنة تبدأ من تاريخ قيدها بالسجل التجاري وتجدد لمدة أخري مماثلة ما لم يخطر أحد الشركاء الآخرين برغبته في عدم الاستمرار ويكون ذلك قبل نهاية المدة الأصلية أو المجددة بستة أشهر علي الأقل بخطاب مسجل علي عناوينهم.	Company term shall be fifty years, starting from the date of company registering in the trade register, and it shall be automatically renewed for a similar term unless a party notifies the other party via a registered letter to their address of his intention of terminating the contract within at least six months prior to the first term or the renewed term expiry date.
المادة (6) رأس مال الشركة:	Article (6): Company Capital
تم تحديد رأس مال الشركة المدفوع بمبلغ ب300000 درهم (فقط ثلاثمائة ألف درهم إماراتي لا غير) مقسم إلي 300 (فقط ثلاثمائة) حصة عينية متساوية القيمة،	The company capital has been determined to be an amount of DR 300,000.00 (only DR three hundred thousand), divided into three hundred (300) equal in property shares, each of which shall be one thousand (DR 1000) to be distributed among the partners as follows:

كما يقر الشركاء بأن قيمة الحصص العينية قد دفعت بالكامل،	The partners acknowledge that all in property shares are fully paid as proved by the auditor's certificate.
كما ثبت ذلك بموجب شهادة مدقق الحسابات.	Furthermore, the partners acknowledge that they are jointly responsible for their own money before others regarding the correctness of the in property shares evaluation.
كما يقر الشركاء بأنهم مسئولون مسؤولية تضامنية في أموالهم الخاصة أمام الغير عن صحة تقييم الحصص العينية.	The company may not resort to general contribution or issuing tradable shares, when they want, to form or to increase the capital.
لا يجوز للشركة اللجوء للاكتتاب العام أو أن تصدر حصص قابلة للتداول كما تشاء لتكوين أو زيادة رأس مالها ويقر الولي الشرعي للطرف الثالث والرابع بأنه قد دفع حصتهم من ماله الخاص.	The legal guardian of the third and the fourth parties shall acknowledge that he has paid their shares from his own money.
المادة (7) التنازل عن الحصص:	Article (7): Share assignment:
يجوز لأي شريك التنازل عن حصصه في الشركة إلي واحد أو أكثر من باقي الشركاء أو للغير أو إلي ورثته الشرعيين وذلك بمقتضي كتاب محرر موثق من قبل الجهات الرسمية المختصة.	Any partner may assign his share in the company to one or more of the other partners, to other parties, or to his legal inheritors under a written document attested by the competent official authority.
إذا اعتزم أحد الشركاء التنازل عن حصته أو حصصه في الشركة لشخص من غير الشركاء وجب عليه أن يخطر باقي الشركاء عن طريق مدير الشركة بشروط التنازل وعلي مدير الشركة إخطار باقي الشركاء بمجرد وصول الإخطار إليهم.	In case any party intends to assign his share(s) in the company to a person other than partners, such a party must notify the other partners through the company director of conditions of assignment.
كما يجوز لكل شريك أن يطلب استرداد الحصص بالثمن الذي يتفق عليه وفي حالة الاختلاف علي الثمن يطبق حكم المادة (231) من قانون الشركات التجارية.	The company director must notify the other partners directly after receipt of the notification.
إذا انقضي ثلاثون يوما من تاريخ الإخطار دون أن يستعمل احد الشركاء حق الاسترداد كان الشريك حرا في التصرف بشأن حصصه.	In case of disagreement on price, rule of Article 231 of Commercial Company Law shall apply.
إذا استعمل أكثر من شريك حق الاسترداد قسمت الحصص المبيعة بينهم بنسبة حصة كل منهم في رأس المال مع مراعاة أحكام المادة (227) من قانون الشركات التجارية.	In case thirty days shall pass after notification date without use of any partner to the right of recovery, the partner shall be free in acting concerning his shares.
لا تحتج بأي تنازل في مواجهة الشركة أو الغير إلا من تاريخ قيده في السجل التجاري ولا يجوز للشركة الامتناع عن قيد التنازل في السجل إلا إذا خالف ما نص علية العقد.	In case right of recovery is used by more than one partner, sold shares shall be divided among them as per their share percentage in the capital with consideration of rules of Article 227 of Commercial Company Law.
وفي جميع الأحوال يجب ألا يترتب علية زيادة في عدد الشركاء إلي أكثر من خمسين شريك ولا يقل عن اثنين.	No assignment may be challenged against the company or other parties except from date of registering in trade register.
المادة (8) سجل الحصص:	The company may not refrain from registering the assignment at the register unless it contradicts with what is stated in the contract.
تعد الشركة سجلا خاصا بالحصص يقيد به أسماء الشركاء وعدد الحصص التي يمتلكها كل منهم و كافة التصرفات التي ترد علي هذه الحصص،	In all cases, assignment also must not result in increasing the number of partners to more than fifty or in reducing to less than two partners.
ولا ينفذ انتقال هذه الحصص في مواجهة الشركة أو الغير إلا إذا تم قيد السبب الناقل للملكية في السجل المذكور ويجب أن تشتمل بيانات السجل علي كافة البيانات التالية:	Article (8): Shares Register:
8-1 /اسم الشريك ومهنته وجنسيته وعنوانه ورقم وتاريخ بطاقة الهوية أو جواز السفر.	Transferring of the shares ownership shall not be effective unless the reason of transferring has been recorded in the said register.
8-2/ عدد وقيمة الحصص التي يمتلكها في رأس مال الشركة.	The register data shall include the following:
8-3/ عدد وقيمة الحصص التي يتم التصرف فيها مع بيان نوع التصرف ... بيع أو شراء أو ميراث أو هبة إلي غير ذلك من تصرفات.	8-1 Partner's name, occupation, nationality, address, ID or passport date and number.
8-4 / اسم المتصرف والمتصرف إليه وتوقيعهما.	8-3 Number and value of shares being disposed with showing the type of disposition… selling, buying, inheriting, or gift…etc.
8-5 / تاريخ التصرف في الحصص.	8-4 Name of the person who disposes and person to whom disposition goes and their signature.
8-6 / مجموع ما يملكه الشريك من حصص بعد إجراء التصرف وقيمتها.	8-5 Shares disposition date.
ويتم ترقيم صفحات السجل المذكور ترقيما مسلسلا،	8-6 Partner's total shares and their value after dispositions.
ولا يجوز نزع أي صفحة من صفحاته أو إجراء أي كشط أو تغيير في البيانات المدونة به.	The pages of such a register shall be serially numbered; no pages may be removed; no deletion or changing on its recorded data may be allowed.
ويكون مدير / مديرو الشركة مسئولين بالتضامن عن هذا السجل و صحة بياناته،	Company director(s) shall be jointly responsible for this register and correctness of its data.
ويكون للشركاء ولكل ذي مصلحة حق الاطلاع علي هذا السجل.	The partners and every involved person shall have the right to view this register.
ترسل الشركة إلي كل من الوزارة والدائرة الاقتصادية في شهر يناير من كل سنة البيانات الثابتة من السجل المشار إليه أعلاه والتغيرات التي طرأت عليه.	In January of every year, the company shall send the Ministry and Economy Department the fixed data from above said register and changes that may arise.
المادة (9) إدارة الشركة:	Article (9): Company Management:
يلتزم السيد/ ×××××××××××× بإدارة الشركة كمدير تنفيذي لها ويتمتع خلال فترة سريان الشركة بجميع الصلاحيات الكاملة التي تخوله لإدارة الشركة.	Mr. ×××××××××××××× shall run the company as its executive director, and shall have all powers that enable him to run the company during its term.
ويتمتع المدير التنفيذي بجميع الصلاحيات الكاملة التي تخوله لإدارة الشركة وتشمل ما يلي:	The executive director shall have all powers that enable him to run the company, including the following:
تمثيل و التوقيع منفردا بالنيابة عن الشركة لدى الدوائر الاتحادية والمحلية ووزارة العمل والشئون الاجتماعية وإدارة الجنسية والهجرة،	He shall have the right of solely representing and signing on behalf of the company before federal and local authorities, Ministry of Labor and Social Affairs, Immigration and nationality Department; opening all accounts types with all banks in the name of the company in UAE and activating such accounts under his sole signature, running such accounts by depositing and withdrawing cash as per cheques and bank drafts, and obtaining credits by facilities, loans, guarantees, in addition to opening credits, freezing and liquidating deposits, receiving and cashing cheques and bank drafts.
وتعيين المحامين و الوكلاء القضائيين ورفع الدعاوى أو الدفاع في أي من القضايا أو الوصول إلي تسوية أمام جميع المحاكم من جميع الدرجات في الدولة بما في ذلك محكمة الاستئناف ومحكمة التمييز والمحكمة العليا وتعيين وإنهاء خدمات العاملين والمستشارين وتحديد مهامهم ومكافأتهم وتمثيل الشركة لدى جميع الوزارات والسلطات والحكومات المحلية من أجل تأسيس هذه الشركة ومزاولة أعمالها بصورة طبيعية.	Besides, he has the right of endorsing and signing cheques and bank drafts; conducting all various bank transactions, including leasing and using steel safes; canceling investment, closing bank accounts, cashing company due payments; appointing attorneys and legitimate agents, filing or defending lawsuits, reaching settlements before all tribunals in all classes in the state, including court of appeal, court of distinction, and supreme court; appointing and terminating employees and consultants, setting up their tasks and bonuses; representing the company before all ministries, authorities and local governments in order to establishing this company and practicing its business activities naturally; performing any other tasks related to signing contracts and any financial or commercial-related documents on behalf of the company; attesting accounts documents.
والمصادقة على المستندات المتعلقة بالحسابات،	He also has the right to conclude partnerships and agreements with establishments, individuals, companies, and authorities that he sees convenient in their specialization fields, along with opening branches all over UAE.
ومن أجل تحقيق أهداف الشركة وتصريف أعمالها بصورة فعالة،	To achieve the company purposes and to run its business smoothly and effectively, the executive director may secure a contract of management and technical knowledge with any other individual or local or foreign company, or participating in managing or merging according to what he sees convenient, together with determining fees value and rewards for such a management and technical knowledge.
وتحديد قيمة الأتعاب والمكافآت لهذه الإدارة والمعرفة الفنية.	The executive director may appoint or empower all or some of the above said powers to some individual(s), including a partner and the partners at any time he sees suitable.
كما يحق ويخول للمدير التنفيذي التوقيع بالنيابة عن الشركة إصدار ضمانات للغير.	Also, the executive director may sign guarantees to other parties on behalf of the company.
من المعلوم تماما لأطراف هذا العقد أن المدير التنفيذي للشركة هو وحده المسئول عن الإدارة اليومية لأعمال الشركة وبدون أي تدخل من الشركاء الآخرين.	All parties hereof are fully aware that the executive director may is solely responsible for the daily management of the company activities, without any interference by the parties.
المادة (10) الإدارة المالية:	Article (10): Financial Department
يتولي مديرو الشركة إعداد الميزانية السنوية للشركة وحساب الأرباح والخسائر،	The company directors shall prepare the annual budget of the company and accounts of profits and losses.
كما يقومون بوضع تقرير سنوي عن نشاطات الشركة ومركزها المالي ومقترحاتهم في شأن توزيع الأرباح وذلك كله خلال ثلاثة أشهر من تاريخ السنة المالية.	The company directors shall also develop an annual report on company activity, its financial status and suggestions concerning distribution of profits and losses.
يجب تقديم الميزانية وحساب الأرباح والخسائر إلي الجمعية العمومية السنوية لاعتمادها.	This such shall done within three months f fiscal year date.
يكون للشركة مراقب حسابات يختاره الشركاء سنويا بقرار يصدر منهم في جمعية الشركاء ويجب أن يكون من المحاسبين المرخص لهم بالعمل في دولة الإمارات العربية المتحدة وفقا لأحكام نظام المحاسبين،	The budget and account of profits and losses must be submitted to the annual general assembly for approval.
وعلي مراقب الحسابات ملاحظة تطبيق عقد الشركة ونظام الشركات،	The partners shall appoint an auditor to be selected annually by them according to a decision to be made by their association; this auditor should be licensed to work at UAE pursuant to the accountant's regulations.
وعليه مراجعة قوائم الجرد والحسابات الختامية السنوية وفحص الميزانية وتقديم تقرير سنوي عن ذلك إلى جمعية الشركاء،	The auditor should stick to applying the company contract and companies' rules, in addition to examining inventory lists, annual closing accounts, budget, and submitting annual report to cover all these points to the partners' association.
وله في سبيل ذلك الاطلاع على جميع دفاتر الشركة ووثائقها والعقود التي تبرمها مع الغير وله أن يطلب الإيضاحات والبيانات التي يرى ضرورة الحصول عليها.	To perform these tasks, he shall review all the company bookkeeping, ledgers, account books… etc and their documents, along with contracts concluded with other parties; he also may ask for some necessary clarifications and data.
ويقوم الشركاء بتقرير أتعاب مراجع الحسابات السنوية.	The auditor's annual fees shall be determined by the partners.
على المدير خلال الأيام العشرة التالية من تصديق الميزانية وحساب الأرباح والخسائر أن يودعها لدى كل من الوزارة والدائرة الاقتصادية.	The director must, within the following ten days after partners' approval of budget and account of profits and losses, deposit the budget at both the Ministry and Department of Economy.
المادة (11) الجمعية العمومية:	Article (11): General assembly
تكون للشركة جمعية عمومية تتكون من جميع الشركاء وتنعقد الجمعية العمومية بدعوى من المدير/ المديرين خلال الأشهر الأربعة التالية لنهاية السنة المالية،	The company shall have a general assembly composed of all partners and will be held upon a request of the director(s); during the four month after the end of the fiscal year, a call for general assembly shall be directed by company director.
ويجب علي المدير دعوة الجمعية العمومية للانعقاد إذا طلب ذلك مجلس الرقابة (إن وجد) أو عدد من الشركاء يملك ما لا يقل عن ربع رأس المال.	The director must call for general assembly to be held in case a number of partners who own more than a fourth of capital shall request so.
وتوجه الدعوة لحضور الجمعية العمومية بموجب خطابات مسجلة بعلم الوصول ترسل إلى كل شريك قبل موعد انعقادها بواحد وعشرين يوما على الأقل.	The call for general assembly shall be under registered letters to be sent to all partners at least twenty-one days before its date.
وتشتمل خطابات الدعوة على بيان جدول الأعمال ومكان وزمان الاجتماع.	Such call letters must include a list of agenda and meeting place and time.
لكل شريك حق حضور الجمعية العمومية مهما كان عدد الحصص التي يملكها،	Each partner shall have the right to attend the general assembly whatever number of shares he owns.
و للشريك أن ينيب عنة بتفويض خاص شريكا آخر من غير المديرين لتمثيله في الجمعية ويكون لكل شريك عدد من الأصوات بقدر الحصص التي يمتلكها.	Partners may delegate others other than non-director partners by a special authorization to represent them at the general assembly and each partner shall have a number of votes as per his shares.
المادة (12) الضمانات:	Article (12): Guarantees
في حالة ما إذا قدم أي شريك أو عضو من أعضاء مجلس الإدارة أية ضمانات شخصية للبنوك أو الدائنين أو البيوت المالية بشأن العمل التجاري أو التسهيلات الائتمانية من قبل الشركة فإن هذا الشريك أو عضو مجلس الإدارة سوف يستحق عمولة الضمان والتي يقرها اجتماع الجمعية العمومية للمساهمين.	In case any partner or member of the board of directors provides any personal guarantees to banks, debtors or financial houses concerning trade business or credit facilities required by the company, such a partner or member of the board of directors shall deserve a guarantee commission stated by shareholders' general assembly.
المادة (13) السنة المالية:	Article (13): Fiscal Year:
تبدأ السنة المالية للشركة في الأول من يناير وتنتهي في الحادي والثلاثين من ديسمبر من كل سنة،	The company fiscal year shall commence as of the First of January and shall end on 31st of December of every year, excluding the first fiscal year, which shall commence from the date of its registration at the commercial register, and shall end on 31st of December of the same year.
المادة (14) توزيع الأرباح و الخسائر:	Article (14): Distributing profits and losses:
يتم توزيع صافى أرباح الشركة السنوية بعد خصم المصروفات العمومية والتكاليف علي النحو التالي:	The company net profits per year after deducting the general expenditures and costs shall be as follows: allocating 10% of the net profits to be the legal capital reserve and the partners may decide to stop this reserve if it reaches half of the capital.
ويجوز للشركاء أن يقرروا وقف هذا التجنيب الاحتياطي إذا بلغ نصف رأس المال .	The profits shall be distributed among the partners based on the following percentages:
يتم توزيع الأرباح بين الشركاء وفق النسب التالية:	Title Profit percent

المادة (15) مدققو الحسابات:	The partners shall appoint auditor(s) to be selected annually by them according to a decision to be made by their association; the auditor(s) should be licensed to work at UAE, to whom the auditors' regulations of joint stock companies shall be applied.
المادة (16) تعديل عقد التأسيس:	Article (16): Amendment of the Establishment Contract:
لا يجوز تعديل هذا العقد ولا زيادة رأس مال الشركة أو تخفيضه إلا بموافقة عدد من الشركات يملكون 100%من رأس المال،	This contract may not be amended and the capital may not be increased or reduced unless approved by a number of partners who own 100% of the capital.
كما لا يجوز زيادة التزامات الشركاء إلا بموافقتهم الجماعية ولا يسرى قرار تخفيض رأس مال الشركة إلا بعد موافقة دائرة التنمية الاقتصادية ويتعين على مدير/ مديري الشركة تقديم المستندات المتعلقة بما ورد أعلاه وأية تعديلات أخرى تجرى عليه لدى السجل التجاري.	The decision of reducing the capital shall not be valid unless the Economy Development Department approves it.
المادة (17) حل الشركة:	Article (17): Company dissolution:
يتم حل هذه الشركة لأي سبب من الأسباب التالية:	This company shall be dissolved for any of the below reasons:
17ـ1/ انتهاء مدة الشركة المحددة في هذا العقد ما لم يتفق على تجديدها.	17-1 Ending of the company term herein unless they agree to renew it.
17ـ2/ انتهاء الأغراض التي أسست من اجلها الشركة.	17/2 Ending of the company purposes hereof.
17ـ3/ اندماج الشركة في شركة أخرى.	17-3 Company merging with another company.

المادة (18) تصفية الشركة:	Article (18): Company Liquidation:
تقوم الجمعية العمومية بتعين مصف أو أكثر ويتبع في تصفية الشركة الأحكام الواردة في قانون الشركات التجارية ما لم يتفق الشركاء على خلافة عند حل الشركة،	This general assembly shall appoint liquidator(s) who shall adhere to the commercial companies' regulations when liquidating the company unless otherwise agreed by the partners.
وإذا ما كانت التصفية بناء علي حكم المحكمة التي قامت بتعيين المصفى،	If the liquidation is based on a court ruling by which a liquidator is appointed, the director(s) may not appoint liquidator(s).
المادة (19) الإخطارات:	Article (19): Notifications:
تكون الإخطارات الموجهة من الشركة إلي الشركاء بواسطة خطابات مسجلة بعلم الوصول علي عنوان كل شريك كما هو مبين في هذا العقد والمدون في سجل الشركة.	Notifications form the company to the partners shall be by registered letters to every partner's address as shown herein and as recorded in the company's register.

حرر هذا العقد من (6) وتم توقيعه من قبل أطرافه وأعطى كل طرف نسخة منه،	This contract has been executed in (6) counterparts and signed by its parties, one per each party.

المادة (23) إفلاس أو وفاة أحد الأطراف (شريك):	Article (23): Bankruptcy of or death of a party or (partner) :
في حالة إفلاس أو وفاة أي طرف،	In case of bankruptcy of or death of a party, his representative or creditors may not ask to close the company or to devise its properties, in addition, they may not intervene in running the company.
كما لا يحق لهم التدخل في إدارتها،	The company's activities shall continue among other partners and representatives of the bankrupt or the dead till the end of the company term.
وتبقى حقوق هؤلاء المندوبين أو الورثة بالأرباح المستحقة للطرف المتوفى أو من أشهر إفلاسه.	The rights with its due profits of those representatives or inheritors of the bankrupt or the dead shall remain.

" If a salving ship is owned or operated by the carrier, salvage shall be paid for as fully as if the said salving ship or ships belonged to strangers. "No Bills of Lading to be signed for any blockaded port and if the port of discharge be declared blockaded after Bills of Lading have been signed, or if the port to which the ship has been ordered to discharge either on signing Bills of Lading or thereafter be one to which the ship is or shall be prohibited from going by the Government of the Nation under whose flag the ship sails or by any other Government, the Owner shall discharge the cargo at any other port covered by this Charter Party as ordered by the Charterers (provided such other port is not a blockaded or prohibited port as above mentioned) and shall be entitled to freight as if the ship had discharged at the port or ports of discharge to which she was originally ordered.	أو إذا كان الميناء الذي تلقت السفينة الأوامر للتفريغ فيه عند توقيع بوالص الشحن أو بعد ذلك من الموانئ المحظور دخول السفينة إليها أو التي سيحظر دخولها إليه بواسطة حكومة الدولة التي تبحر السفينة تحت علمها أو أية حكومة أخرى،

"The ship shall have liberty to comply with any orders or directions as to departure, arrival, routes, ports of call, stoppages, destination, delivery or otherwise howsoever given by the Government of the Nation under whose flag the vessel sails or any department thereof, or any person acting or purporting to act with the authority of such Government or of any department thereof, or by any committee or person having, under the terms of the War Risks Insurance on the ship, the right to give such orders or direction and by reason of and in compliance with any such orders or directions anything is done or is not done the same shall not be deemed a deviation and delivery to accordance with such orders or directions shall be a fulfillment of the contract voyage and the freight shall be payable accordingly.	2- تكون السفينة حرة في التقيد بأية أوامر أو توجيهات بالنسبة للمغادرة أو الوصول أو طرق الإبحار أو الموانئ التي تزورها أو التوقفات أثناء سيرها،

1- إعتبار المرابحة عقد بيع برأس المال وربح معلوم.	1- Murabaha is deemed a sale contract with a capital and definite profit.
2- إعتبار المقصود برأس المال هو ثمن البضاعة المشتراة من البائع أما الربح المعلوم فهو الزيادة على الثمن الأول على رأس مال المبيع.	2- The capital is deemed to mean the price of commodities purchased from Seller, while definite profit is the increase to the such capital value of the sold item.
3- إعتبار ان تحصيل فهم الواقع في الدعوى وتقدير الأدلة والقرائن وتقارير الخبراء من سلطة محكمة الموضوع التي لها الأخذ بتقرير الخبير المنتدب عند اطمئنانها وإلى صحة أسبابه.	3- To conclude the facts on the case and consider the evidence, presumptions and expert’s reports lays within the jurisdiction of the trial court that may rely to the expert’s report based on court's satisfaction and report's valid grounds.

وبعد المداولة.	Whereas the cassation has fulfilled all formal conditions, and
وحيث إن الوقائع – على ما يبين مـن الحكم المطعون فيـه وسائر الأوراق- تتحصل في أن البنك المطعون ضده أقام الدعوى رقم 30 لسنة 1995 الفجيرة الإبتدائية على الطاعنين طالباً إلزامهم بالتضامن أن يدفعوا له 1.132.250 درهماً رصيد ما بذمتهم استناداً إلى عقود مرابحة، موضوعها،	Whereas, in the facts - as apparent in the contested judgment and the documents - the respondent Bank filed the action no. 30/1995, Fujairah Court of First Instance, against the appellants requesting to order them to jointly pay the respondent AED 1.132.250, which is an outstanding amount payable by them based on Murabaha contract on purchase of a group of cars.
شراء مجموعة سيارات.	The court of first instance assigned an expert.
ندبت محكمة أول درجة خبيراً،	After being provided with expert's report, the court ruled by obligation to pay the required amount.
وإذ استأنف الطاعنون هذا الحكم قضى في استئنافهم رقم 15 لسنة 97 الشارقة برفضه.	While the appellants appealed this ruling, it was dismissed in their appeal no. 15 of 1997, Sharjah.
طعن الطاعنون في هذا الحكم بطريق النقض بالطعن رقم 190 لسنة 19 ق،	The appellants appealed in cassation against the said judgment under appeal no. 190/19 J, and dated 14/4/1998, such court overruled the contested judgment with deferral, and the deferral court, on 3/1/2001, dismissed the appeal.
ومحكمة الإحالة قضت في 3/1/2001 برفض الاستئناف؛ فكان الطعن.	Therefore the cassation was risen.
وحيث إن الطعن يقوم على ثلاثة أسباب ينعي الطاعنون بها على الحكم المطعون فيه مخالفة القانون والقصور في التسبيب والإخلال بحق الدفاع؛ إذ عوّل في قضائه على تقرير الخبير رغم قصوره في بحث ما إذا كانت أسعار شراء السيارات من الوكلاء هي نفسها أسعار بيعها للطاعنين،	Whereas the cassation is based on three grounds: the appellants claim that the contested judgment violated the law, is substantially insufficient and violated the right of defence, since judgment relied to the expert report which is insufficient in determining whether the price of the car purchased from agents is the same as the price when the car sold to the appellants, and the conformity of such prices with the fair market value at the time of transaction was not confirmed.
وقضى على خلاف المادة 117 من قانون المعاملات التجارية التي توجب لنفاذ الإتفاق على حلول باقي الأقساط في حالة التخلف عن سداد إحداها إخطار المشتري وانقضاء سبعة أيام على ذلك،	The contested judgment was issued in violation to Article 117 of the Commercial Transactions Act which stipulates that the purchaser, in order for the agreement to be applicable to the remaining payments maturity, shall be served with a seven-day notice in case of failure to fulfil any payment.
وحيث إن هذا النعي في غير محله؛ ذلك أنه لما كان مفاد نص المادة 506/1 من قانون المعاملات المدنية أن المرابحة عقد بيع برأس المال،	The judgment also dismissed the request of appellants to open defence although the power of attorney conferred on their attorneys is newly drawn.
وربح معلوم،	The judgment has therefore erred and necessitates its cassation.
والمقصود برأس المال هو الثمن الذي اشترى به البائع البضاعة أما الربح المعلوم فهـو الزيادة على الثمن الأول علـى رأس مال المبيع	Whereas this objection is not valid, since Article 1/506 - Civil Transactions Law - stipulates that Murabaha is a Sale Contract with the capital and definite profit.
وهو عقد له صورة معينة حيث يبيع المشتري الأول إلى المشتري الثاني السلعة بالثمن الذي اشتراها به وزيادة ربح معلوم محدد.	The Capital is the price by which the seller purchased the goods, while the definite profit is the increase to the first price to capital of the sold item.
وكان تحصيل فهم الواقع في الدعوى وتقدير الأدلة والقرائن ومنها تقارير الخبراء من سلطة محكمة الموضوع التي لها الأخذ بتقرير الخبير المنتدب متى اطمأنت إليه وإلى صحة أسبابه	It is a contract of specific nature: the first purchaser sells to the second purchaser the good at the price of purchase along with an increase of definite profit.
ولا إلزام عليها إجابة طلب الطاعنين إعادة الدعوى للمرافعة متى وجدت في الأوراق ما يمكنها من تكوين عقيدتها للفصل فيها.	Whereas construing the facts of the case and assessing the evidence and presumptions, including the expert's report, lay within the jurisdiction of the trial court that may rely to such report whenever it is satisfied with, and the report's grounds are true.
لما كان ذلك وكان البين من مدونات الحكم المطعون فيه أنه أقام قضاءه بتأييد الحكم المستأنف الذي انتهى إلى إلزام الطاعنين بمبلغ 1.132.250 درهم – قيمة ما ترصد في ذمتهم من عقود المرابحة التي أبرموها مع البنك الطاعن- على سند من تقرير الخبير الأصلي والتكميلي الذي اطمأن إليه والذي أورى بتقريره الأخير أن البنك المطعون ضده قام بشراء السيارات من الموردين بمبلغ 1890500 درهم وباعها بذات الثمن التي اشتراها بها الطاعنين،	Otherwise, the court shall be bound to answer appellant's request to open the case to defence again when its papers can lead the court into making its opinion to decide thereon.
وإن الزيادة المضافة إلى ثمن الشراء المذكور اقتصرت على الربح المعلوم والمتفق عليه مع الطاعنين والبالغ مقداره 315190 درهماً وبإضافة ذلك المبلغ إلى ثمن الشراء يكون الثمن الإجمالي لعقد المرابحة هو 2205690 درهماً،	The complementary expert's report stated that the respondent bank purchased the car from the suppliers at the price of AED 1890500 and sold the same at such price as the appellants purchased it, and that the increase to the said purchase price is just a definite profit agreed upon with the appellants, which is AED 315.190.
ولما كان الطاعنون قد سددوا للبنك المطعون ضده مبلغ 1073440 درهماً فإن الرصيد المتبقي في ذمتهم هو مبلغ 1.132.250 درهم وهو المبلغ المطالب به.	By adding such sum to the purchase price, the total price of Murabaha contract is AED 2.205.690.
وهي أسباب سائغة مستقاة من أصول ثابتة بالأوراق وتوافق صحيح القانون وتواجه دفاع الطاعنين ولم تتجاوز بها محكمة الموضوع سلطتها في فهم الواقع في الدعوى وتقدير الأدلة فإن النعي برمته يغدو جدلاً موضوعياً لا يجوز إثارته أمام هذه المحكمة.	These are reasonable grounds based on proofs in the documents, conformity of law, and replying to the appellants' defence, while the court did not surpass its authority to understand the facts in the case and assess the evidence thereof.
ولا يضيره إغفاله الرد على ما يتذرع به الطاعنون من عدم إخطارهم بحلول كامل الثمن عملاً بالمادة 117 من قانون المعاملات التجارية – أيا كان وجه الرأي فيه – متى كانت جميع الأقساط قد حل ميعاد استحقاقها،	The judgment is not affected by ruling out the allegation of the appellants that they were not notified of the maturity of the whole price pursuant to Article 117 of the Commercial Transaction Act - irrespective of the opinion thereon - once all payments fall due.
كما لا يضيره عدم استجابته لطلب الطاعنين إعادة الدعوى للمرافعة طالما وجد في أوراقها ما يمكّن المحكمة من تكوين عقيدتها للفصل فيها.	It is also not affected by not responding to the request of appellants to defend so long as the case papers contains what may enable the court make its decision on the subject matter.
ولما تقدم يتعين رفض الطعن.	THEREFORE, the court orders the dismissal of the cassation.
