1. CAPACITY |
| 1.1 El Vendedor es una empresa debidamente constituida y válidamente existente de acuerdo con las leyes de Inglaterra y Gales. |
1.1 The Seller is a company duly organized and validly existing under the laws of England and Wales. |
| 1.2 El Vendedor tiene pleno derecho y título de las Acciones (definidas en el Contrato de Compraventa de Acciones como las acciones de la Empresa A), libre de cualquier Garantía Real (definidas en Contrato de compraventa de Acciones). |
1.2 The Seller has the full right and title of the Shares (defined in the Share Purchase Agreement as the shares of the Company A), free from any Security Interest (defined in SPA). |
| 1.3 El Vendedor tiene el poder y la autoridad necesarios para formalizar este Contrato y cumplir con sus obligaciones y las transacciones que son contempladas en este Contrato. |
1.3 The Seller has the requisite power and authority to execute this Agreement and perform its obligations and the transactions contemplated in this Agreement. |
| 1.4 La formalización y el cumplimiento por parte del Vendedor de sus obligaciones en virtud de este Contrato no: |
1.4 The execution of, and the performance by the Seller of its obligations under this Agreement will not: |
| 1.4.1 resultarán en el incumplimiento de ninguna cláusula de sus estatutos; ni |
1.4.1 result in a breach of any provision of its articles of association; or |
| 1.4.2 resultarán en el incumplimiento de cualquier orden, sentencia o decreto de cualquier Órgano Competente de la que sea parte o por la que esté obligado y que sea significativo en el contexto de las transacciones contempladas en este Contrato. |
1.4.2 result in a breach of any order, judgement or decree of any Competent Authority to which it is a party or by which it is bound and which is material in the context of the transactions contemplated by this Agreement. |
| 1.5 Aparte de lo mencionado en este Contrato, no se requiere que el Vendedor obtenga consentimientos, aprobaciones, autorizaciones o permisos en relación con la formalización y el cumplimiento de este Contrato. |
1.5 Other than as referred to in this Agreement, no consents, approvals, authorization or permits are required to be obtained by the Seller in connection with the execution and performance of this Agreement. |
| 1.6 Según el leal saber y entender del Vendedor, no se ha iniciado ningún procedimiento concursal que afecte al Vendedor y las Empresas para su liquidación o disolución, ni se ha designado un administrador concursal, liquidador o funcionario similar con respecto a cualquiera o todos los activos del Vendedor que impediría que el Vendedor y las Empresas cumplieran con sus obligaciones de acuerdo con este Contrato. |
1.6 To the best of the Seller's knowledge, no insolvency proceedings have been commenced against the Seller and the Companies for its winding up or dissolution, nor has an insolvency administrator, liquidator or similar officer been appointed with respect to any or all of the Seller’s assets which would prevent the Seller and the Companies from fulfilling its obligations under this Agreement. |
