Las demandas, responsabilidades, obligaciones, daños, pérdidas, costos, gastos, penalidades, multas o fallos de las Partes Compradoras Indemnizadas descritos en la Sección 6.01 en relación con los cuales las Partes Compradoras Indemnizadas tienen derecho a indemnización se les denomina conjuntamente como “Pérdidas del Comprador”.
Section 6.02.	Sección 6.02.
Indemnification Obligations of Purchaser.	Obligaciones de Indemnización del Comprador.
From and after the Closing, Purchaser shall indemnify and hold harmless the Seller Indemnified Parties from, against and in respect of any and all claims, liabilities, obligations, losses, damages, costs, expenses, penalties, fines and judgments (at equity or at law, including statutory and common) and damages whenever arising or incurred (including amounts paid in settlement, costs of investigation and reasonable attorneys’ fees and expenses) directly or indirectly arising out of or relating to:	Antes y después del Cierre, el Comprador deberá indemnizar y eximir de responsabilidad a las Partes Vendedoras Indemnizadas de, en contra y respecto a cualquier demanda, responsabilidad, obligación, daño, pérdida, costo, gasto, penalidad, multa o fallo (conforme a derecho o equidad, incluyendo el derecho estatuario y común) y perjuicios (incluyendo los montos pagados en el acuerdo, costos de investigación y honorarios y gastos razonables de los abogados) que se originen directa o indirectamente de:

The claims, liabilities, obligations, losses, damages, costs, expenses, penalties, fines and judgments of the Seller Indemnified Parties described in this Section 6.02 as to which the Seller Indemnified Parties are entitled to indemnification are collectively referred to as “Seller Losses”. Section 6.03.	Sección 6.03.
Indemnification Procedure.	Procedimiento para la Indemnización.
(a) Promptly (but in no event later than ten (10) days) following receipt by an Indemnified Party of notice by a third party (including any Authority) of any complaint or the commencement of any audit, investigation, action or proceeding with respect to which such Indemnified Party may be entitled to receive payment from any other Party for any Purchaser Loss or any Seller Loss (as the case may be), such Indemnified Party shall notify Purchaser or Sellers’ Representative, as the case may be (the “Indemnifying Party”) in writing and provide reasonable details of such third party claim, including the factual basis for such claim and, to the extent known, the amount of such claim or a reasonable estimate thereof; provided, however, that the failure to so notify the Indemnifying Party shall relieve the Indemnifying Party from liability under this Agreement with respect to such claim only if, and only to the extent that, such failure to so notify the Indemnifying Party results in the forfeiture by the Indemnifying Party of rights and defenses otherwise available to the Indemnifying Party with respect to such claim (however, the Indemnifying Party shall not be liable for any expenses incurred during the period in which the Indemnified Party failed to give such notice). The Indemnifying Party shall have the right, upon written notice delivered to the Indemnified Party within thirty (30) days thereafter to assume the defense of such audit, investigation, action or proceeding, including the employment of counsel of the Indemnifying Party’s choice and the payment of the fees and disbursements of such counsel. If the Indemnifying Party assumes the defense of any audit, investigation, action or proceeding, the Indemnified Party shall deliver to the Indemnifying Party, promptly after the Indemnified Party’s receipt thereof, copies of all notices and documents (including court papers) received by the Indemnified Party relating to the any third party claim. If, however, that the Indemnifying Party declines or fails to assume the defense of the audit, investigation, action or proceeding on the terms provided above within such thirty (30) day period, then such Indemnified Party may employ counsel reasonably satisfactory to the Indemnifying Party to represent or defend it in any such audit, investigation, action or proceeding, and the Indemnifying Party shall pay the reasonable fees and disbursements of such counsel as incurred. In any audit, investigation, action or proceeding for which indemnification is being sought under this Agreement, the Indemnified Party or the Indemnifying Party, whichever is not assuming the defense of such action, shall have the right to participate in such matter and to retain its own counsel at such Party’s own expense; provided, however, that the Party who has assumed the defense shall control the defense of such action. The Indemnifying Party or the Indemnified Party (as the case may be) shall at all times use commercially reasonable efforts to keep the Indemnifying Party or Indemnified Party (as the case may be) reasonably apprised of the status of the defense of any matter the defense of which it is maintaining and to cooperate in good faith with each other with respect to the defense of any such matter. Notwithstanding the foregoing provisions of this Section 6.03, an Indemnifying Party may not, without the prior written consent of the Indemnified Party, assume the defense of any audit, investigation, action or proceeding with respect to which such Indemnified Party may be entitled to receive payment from the other Party for any Purchaser Loss or any Seller Loss (as the case may be) if such audit, investigation, action or proceeding alleges criminal conduct or involves criminal penalties with respect to such Indemnified Party or its Affiliates. Any notices for claims in respect of a breach of a representation or warranty must be delivered prior to the expiration of the survival period for such representation or warranty under Section 6.04 (Claims Period). Notwithstanding the foregoing, an Indemnifying Party may not, without the prior written consent of the Indemnified Party, settle or compromise any claim or consent to the entry of any judgment with respect to which indemnification is being sought under this Agreement if such claim alleges criminal conduct or involves criminal penalties with respect to such Indemnified Party or its Affiliates. (c) If an Indemnified Party claims a right to indemnification which does not include a claim by a third party, such Indemnified Party shall send written notice of such claim to the appropriate Indemnifying Party. Notwithstanding the foregoing, if, prior to the close of business on the last day of the applicable Claims Period, an Indemnifying Party shall have been properly notified of a claim for indemnity under this Agreement, and such claim has not been finally resolved or settled at such date, such claim shall continue to survive and shall remain a basis for indemnity under this Agreement until such claim is finally resolved or disposed of in accordance with the terms of this Agreement.
