4. EXPLANATORY NOTES REGARDING METHODS OF VALUATION |

The capital of an undertaking is an abstract quantity which can be calculated in various different ways depending on the purpose of the valuation and on the theory applied and assumptions made during the estimation process. |

Depending on the purpose of the valuation process, it is possible to identify various configurations of capital: |
| • il capitale di funzionamento, volto a misurare il patrimonio dell'azienda sulla base dei criteri di redazione del bilancio di esercizio; |
• operating capital, designed to measure the net assets available to the company based on the criteria used in drawing up the financial statements for the period; |
| • il capitale di liquidazione, stimato in sede di cessazione assoluta dell'attività di impresa per differenza tra il valore di presunto realizzo e di prevista estinzione, rispettivamente, dei componenti attivi e passivi del patrimonio; |
• liquidation capital, the company’s value if wound-up, that is the difference between the presumed realisable value and the settlement value of the assets and liabilities making up the balance sheet position; |
| • il capitale di trasformazione, quantificato con gli stessi criteri del capitale di funzionamento nel caso di cessazione relativa dell'impresa, ovvero quando cambia configurazione giuridica; |
• transformation capital, calculated applying the same criteria as for operational capital and applied when a company is winding up part of its business or changing its legal form; |

This last concept of capital can, in turn, be calculated in differing ways depending on the position taken by the person doing the valuation and the approach to the estimation process. |
| In particolare, si possono individuare tre ottiche valutative: quella del soggetto acquirente, quella del soggetto venditore e quella del perito indipendente. |
That is, it is possible to identify three different viewpoints: that of the purchaser, that of the seller and that of the independent expert appraiser. |
| Nei primi due casi, oggetto della valutazione sarà la stima del valore strategico dell'impresa nell'ottica, rispettivamente, dell'acquirente e del venditore. |
In the first two cases, the aim of the valuation will be to estimate the strategic value of the business in the respective eyes of the buyer and the seller. |
| Nel terzo caso, la finalità della stima sarà invece l'individuazione del valore economico del capitale in relazione alla posizione valutativa di un perito indipendente. |
In the third case, the purpose of the estimate will instead be to determine the economic value of the assets through the eyes of an independent expert appraiser. |

As already mentioned, the value of the economic capital of a business is an abstract quantity that means it is not based on objective data that is automatically available. |
| La sua valutazione impone pertanto il ricorso a stime, ipotesi e congetture che possono variare da perito a perito, dando luogo a valutazioni differenti anche in riferimento alla medesima azienda o parte di essa. |
Its valuation therefore requires the use of estimates, theory and assumptions which may vary from expert to expert thus giving rise to different valuation appraisals being given to the same business or part thereof. |
| Naturalmente, gli elementi di soggettività debbono essere analizzati alla luce di fondati requisiti; al riguardo, la dottrina aziendalistica è unanimemente concorde nel ritenere che almeno tre sono i requisiti che un'attendibile metodologia di valutazione del capitale economico di impresa deve tentare di soddisfare. |
Naturally, the subjective elements must be analysed in light of clear conditions and, to this regard, accepted business theory is unanimously agreed that in order to provide a reliable method of valuing the economic capital of an enterprise the appraiser must aim to satisfy at least three conditions. |

• rationality (the method must have conceptual validity and sufficient theoretical substance); |
| • obiettività (il metodo deve essere concretamente applicabile ovvero deve essere fondato su dati certi o almeno credibili); |
• objectivity (the method must be capable of being applied in practice i.e. it must be based on accurate or at least credible data); |
| • neutralità o generalità (il metodo deve prescindere dalle caratteristiche e dagli interessi delle parti coinvolte nella negoziazione). |

The majority of these criteria are based both on estimating the future earnings capacity of the business and on calculating the net present value of the assets. |
| Le differenze tra i vari criteri nascono dalla diversa importanza che ciascuno di essi attribuisce all'aspetto reddituale in rapporto a quello patrimoniale. |
The differences between the various criteria arise from the different levels of importance that each of them attaches to the income aspect compared to the asset aspect. |
